Company Liability

The Company's web site acts as both a venue for organizations and individuals to identify and manage business opportunities and a venue for organizations and individuals to post their resumes and qualifications. The Company is not involved in actual transactions between one or more parties. Nor does the Company have control over the quality, safety or legality of the documents posted by specific companies or consultants, the truth or accuracy of the listings, the ability of employers to offer job opportunities to consultants or the ability of consultants to fill job openings.

Regarding its products and services, the Company relies upon public information and data obtained from many sources, the accuracy of which cannot be guaranteed in all cases. Therefore the Company makes no representation or warranty as to the accuracy of the material contained herein nor can it accept any liability whatsoever as a result of errors or omissions that occur in the material.

Devex is not engaged in rendering legal, accounting or other professional and/or technical services - this analysis should not be construed as professional advice on any particular set of facts and/or circumstances.

Because user authentication on the Internet is difficult, the Company cannot and does not confirm that each user is who they claim to be. In the event that there is a dispute with one or more users, users release the Company (and agents and employees) from claims, demands, and damages (actual and consequential, direct and indirect) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

The Company is under no legal obligation to, and generally does not, control the information provided by other users that is made available through the Web Site. THE COMPANY DOES NOT WARRANT THAT THE WEB SITE WILL OPERATE ERROR-FREE OR THAT THE WEB SITE AND ITS SERVER ARE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL MECHANISMS. IF YOUR USE OF THE WEB SITE OR THE MATERIAL RESULTS IN THE NEED FOR SERVICING OR REPLACING EQUIPMENT OR DATA, THE COMPANY IS NOT RESPONSIBLE FOR THOSE OR RELATED COSTS.

Disclaimer of Consequential Damages

Under no circumstance shall the Company, its suppliers, or any third parties mentioned on the web site be liable for any damages whatsoever (including, without limitation, incidental and consequential damages, lost profits, or damages resulting from lost date or business interruption) resulting from the use or inability to use the web site and the material, whether based on warranty, contract, tort or any other legal theory, and whether or not the company is advised of the possibility of such damages.

Indemnity

Users agree to defend, indemnify, and hold harmless the Company, its officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal and accounting fees, alleging or resulting from their use of the material or their breach of the terms of these Terms and Conditions. The Company shall provide notice to users promptly of any such claim, suit, or proceeding and shall assist them, at their expense, in defending any such claim, suit, or proceeding.

Fees, Payment and Cancellation

Some of the services require payment of fees. Users shall pay all appropriate fees, as described on the Web Site in connection with such services selected by the user. The Company reserves the right to change its fees and/or to institute new charges at any time, upon ten (10) days prior notice to users, with notice sent by email or posted on the Web Site. Use of the services by the user following notification shall constitute acceptance of any new or increased charges.

Billing for the Company's services is recurring based on monthly subscription rates identified on the Company's web site. The appropriate monthly subscription fee will be billed automatically at the beginning of each renewal period, to the credit card designated during the registration process (or subsequently changed) unless cancellation occurs before the renewal period begins. Users agree to pay all fees and charges incurred in connection with their username and password (including any applicable taxes) at the rates in effect when the charges were incurred.

Subscribers have 90 days from the date that any discrepancies in the billing statement or invoice first appear to notify the Company; after that time all charges will be deemed correct.

A subscriber may cancel a subscription to the Company's services at any time by calling +1.202.249.9222. No prorated refunds are allowed, unless provided for by previous agreement.

Registration and Password

Users are responsible for maintaining the confidentiality of their information and password. Users shall be responsible for all uses of their registration, whether or not they are authorized. Users agree to immediately notify the Company of any unauthorized use of their registration or password.

No Resale or Unauthorized Commercial Use

Users of Devex agree not to resell or assign their rights or obligations under these Terms and Conditions. Users also agree not to make any unauthorized commercial use of the Web Site, including but not limited to using consultant and/organization information for unauthorized purposes, whether directly or indirectly, and selling and/or reselling any information provided by the Company\

The analysis and information presented on the Company's Web Site are exclusive to the Company and represent proprietary information.

Acceptable Web Site Use

Users may not use the Web Site in order to duplicate, distribute, transmit, store or destroy material (a) in violation of any applicable law or regulation, (b) in a manner that will infringe the copyright, trademark, trade secret or other intellectual property rights of others or violate the privacy, publicity or other personal rights of others, or (c) that is defamatory, obscene, threatening, abusive or hateful.

Users are prohibited from copying, duplicating or otherwise reproducing the content of the Company\

The Company will investigate occurrences that may involve such violations and may involve, and cooperate with, law enforcement authorities in prosecuting users involved in such violations.
