Chief Counsel, Sovereign Guaranteed Operations

The Chief Counsel, Sovereign Guaranteed Operations (SGO), reports to the Bank's General Counsel.

The basic functions of the Legal Department (LEG) are to provide legal advice to the President and Management of the Bank and, when appropriate, to the Board of Governors and the Board of Executive Directors, to ensure that the Bank's activities are consistent with the Bank's Charter and other governing laws. LEG directs the Bank's representation in litigation, arbitration, or other administrative or legal proceedings or in matters in which the Bank may be a party or have an interest. LEG plays an active role in the preparation and execution of the Bank's operational programs, and it also participates in the conceptualization and implementation of new initiatives.

The Chief Counsel, SGO, will provide legal advice for sovereign guaranteed-operations, having as its clients the Vice Presidency for Countries (VPC) and the Vice Presidency for Sectors and Knowledge (VPS). The Division provides legal advice on the programming, analysis, negotiation, documentation and implementation of Bank SGO operations, as well as in the context of policies and the development of new products.

 

KEY RESPONSIBILITIES:

 

Chief Counsel, SGO, manages and directs the Division in relation to:

- The participation of the Division's members in project teams, including advice on the eligibility and juridical structure in the preparation of SGO operations; and in the analysis of institutional and operational factors that affect the design and execution of operations.
- Legal guidance to the legal team and the Vice-Presidencies for Countries and for Sectors and Knowledge to address, in an expeditious manner, institutional and legal issues regarding the eligibility, due diligence, structuring, negotiation, approval, monitoring, and administration of SGO operations.
- Provides legal counseling on the formulation and updating of the Bank's operating policies for SGO operations, and the preparation of model documentation for such operations.
- Provides legal advice relevant to the internal programming process of SGO operations.
- Provides coordinated legal advice for the various Bank units, especially those under the VPC and VPS, during the administration of operations, especially in regard to compliance with contractual provisions and Bank procurement policies.
- Establishes targets and specific benchmarks to achieve appropriate levels of satisfaction in terms of cost, time and capacity to respond to client needs.
- Manages highly-skilled interdisciplinary and multi-cultural staff.

 

ELIGIBILITY CRITERIA AND TECHNICAL COMPETENCIES:

 

Education: Juris Doctor, LL.B., or equivalent from an accredited member country law school and admission to practice law in at least one Bank member country and basic knowledge of both civil and common law required.
Experience: 10 to 15 years work experience relevant to the duties of the position. Significant experience working with international lending documentation. Knowledge and understanding of the Region. Proven experience in similar positions, preferably in Latin America or the Caribbean, including broad experience, at a similar level, in coordinating multidisciplinary teams to develop complex projects and in the development of timely solutions to clients' needs. Strong technical background and proven management track record. Strong communication skills.
Languages: Proficiency in at least two of the Bank's official languages (Spanish required) and preferably working knowledge of a third.
