The Agency's missions are to :              - ensure multi-year planning              - supervise and coordinate road maintenance activities,              - build new roads              - mobilize financial resources to ensure the financing of the                Road network.   CHAPTER II :   ADMINISTRATIVE ORGANIZATION -The Agency is administered by a Board of Directors and a General Management. From the administration board The Agency's Board of Directors has the broadest powers to define and orient general policy, administer and evaluate the management of the Agency. The Agency's Board of Directors is made up of seven members, namely:              - a representative of the Ministry having Transport and Public Works in its attributions: President;              - A representative of the Ministry having Finance in its attributions:                 Vice-president;              - The Director General of the Agency: Secretary;              - A representative of the Ministry in charge of Good Governance:                 member;              - a representative of the Ministry having the Administration of the territory in                his attributions: member              - A representative of the private sector: member              - A staff representative elected by all Agency staff:                 member. The other members of the Board of Directors are appointed by decree on the proposal of the Minister responsible after consulting the Institutions represented on the Board of Directors. The duration of their mandate is 3 years renewable. In the event of resignation, revocation of the mandate, death, loss of quality or any other final cause which prevents a director from sitting on the Board of Directors, a new member is appointed who completes the mandate from its predecessor. Without prejudice to legal or disciplinary proceedings due to offenses, negligence or incompetence or other faults committed in the exercise of his mandate, a member of the Board of Directors, on the proposal of the Minister responsible, is dismissed of office and replaced. The directors benefit from an attendance fee, the amount of which is determined by joint order of the Ministers having finance and public works respectively in their attributions. The responsibilities of the Board of Directors are: Adopting the Agency's organizational chart and voting on its program budget.      approval of the Agency's internal rules and procedures manual; Control of the execution of its own decisions by the General Management of the Agency; the adoption of the statutes of the personnel which it submits to the approval of the Minister responsible; the approval of the annual accounts as well as the annual report on the activities of the Agency;\ approval of the acquisition or disposal of all movable or immovable property. The Board of Directors meets in ordinary session at least once a quarter when convened by the President. If the President is unable or absent, the meetings are convened by the Vice-President. The Board of Directors meets in extraordinary session as many times as necessary, at the request of the Chief Executive Officer or at the request of two thirds of its members. The Board of Directors validly deliberates if two-thirds of its members are present and if the physical presence of the directors reaches a simple majority. The decisions of the Board of Directors are sent to the relevant Minister and to the directors at the request of the Chief Executive Officer within eight days of the meeting. The minutes are also sent to the relevant Minister and to the administrators by the Chief Executive Officer within eight days of their approval by the Board of Directors. From the General Management The daily management of the Agency is provided by a Director General, assisted by the Director of the Road Fund, the Director of Planning and Studies and the Director of Road Works Execution. The Director General and the Directors are appointed by decree on the proposal of the proposal of the Minister responsible. The term of their mandate is four years, renewable as many times as necessary. The Director General is responsible for implementing the decisions of the Board of Directors, coordinating and supervising activities related to the Agency's missions. The Director General is the Legal Representative of the Agency. He may give, under his control and responsibility, delegation of powers to his employees, in accordance with the staff regulations and the agency's internal regulations.
