Job Description

Description of the Work

Deloitte has been providing technical assistance to Naftogaz in Ukraine to implement corporate governance reform at Naftogaz and its upstream gas production subsidiary, UkrGasVydobuvannya (UGV).

The Corporate Governance Advisor will support the Deloitte team on the following activities:

  • Evaluate and assess the current state of the corporate governance framework at Naftogaz
  • Provide recommendations on leading Supervisory Board and Executive Board governance practices, such as those developed by the Organization for Economic Co-operation and Development (OECD), the European Union, leading international oil and gas companies, and state-owned oil and gas enterprises, as applicable to Ukraine
  • Advise, instruct, and collaborate with Naftogaz to assess options for the development of a scoring metric or Corporate Governance Scorecard, which can be used to inform and measure both the pace and extent of the corporate governance reforms achieved at Naftogaz
  • Identify international oil and gas companies and government-owned enterprises for comparison and analysis of leading governance practices
  • Prepare present, and participate in corporate governance trainings as needed, including one corporate governance training session for the Naftogaz Executive Board
  • Draft a final report (approximately 40 pages, written in English) to include the assessment of the current governance situation at Naftogaz, proposed recommendations, activities completed during the consultancy, additional training, and timelines for completion
  • Participate in trips to Kyiv, Ukraine to conduct meetings and trainings with Naftogaz executives and board members, as requested (tentatively three one-week trips are proposed)
  • Provide inputs to support the development of monthly status updates, quarterly reports, and a final report, as needed.

The Corporate Governance Advisor must possess the following qualifications:

  • Executive presence; comfort and experience interacting with and presenting to senior board-level executives
  • Experience working with and/or advising on the Germanic two-tiered board structure for corporate governance
  • Excellent writing skills
  • Fluency in English.

In addition, experience in the following areas would be highly desirable:

  • Working in the oil and gas sector, or the energy sector more broadly
  • Working with state-owned enterprises
  • Working in Ukraine, or Eastern Europe more broadly
  • Communicating in Ukrainian and/or Russian
  • Working with government and/or international organizations.

Schedule/Period of Performance

The period of performance will be from April 2018 to December 29, 2018, with the bulk of the work to be completed by August 31, 2018. Key milestone and deliverable due dates are:

  • July 16, 2018: Draft Corporate Governance Recommendations Report
  • August 31, 2018: Final Corporate Governance Recommendations Report

Some additional work may be required beyond August 31, 2018, subject to client guidance.

Place of Performance

Work will be carried out off-site at the Subcontractor’s home office, and in Kyiv, Ukraine at Naftogaz offices. Three trips are anticipated, with each trip lasting about one week in duration.

Resources, Materials, Equipment, Etc. to be Provided by Subcontractor

The Subcontractor will provide his/her own laptop and other technology to complete the work. Deloitte will provide the Subcontractor with a Deloitte email address to use for project communications.
