Scope of Work
The National Transmission & Despatch Company (NTDC) has undergone strategic restructuring leading to the transition of key operational functions into three distinct corporate entities: The National Grid Company (NGC), the Energy Infrastructure Development and Management Company (EIDMC), and the Independent System and Market Operator (ISMO). With the system operation function vested in the ISMO, NGC will focus exclusively on providing world-class grid operation and management services while project development and implementation will be assigned to EIDMC. However, to ensure continuity in transmission infrastructure development, NGC will provide transitional support to EIDMC until the new company achieves full operational independence.
As part of its ongoing transformation following the disaggregation of NTDC, the National Grid Company (NGC) seeks to engage a Senior HR Consultant to provide expert advisory services related to organizational restructuring and human resource systems development. This role involves the review and enhancement of a previously developed restructuring plan and HR policy framework delivered under a prior engagement with Ernst & Young (EY). This assignment will also require incorporation of the gender mainstreaming and climate related policies and operating procedures as supported by the International Financial Institutions through the ongoing investment loans.
The consultant will identify structural and procedural gaps, recommend actionable revisions aligned with NGC’s new corporate mandate, and support implementation of selected HR components in accordance with international best practices in grid operation and utility management.
Detailed Tasks and/or Expected Output
Detailed Tasks
a. Organization Restructuring
i. Review the organization restructuring plan prepared through a previous consulting assignment contracted with EY.
ii. Advise on gaps in the plan and recommend improvements or revisions based on NGC’s role post disaggregation of NTDC into NGC, ISMO and EIDMC.
iii. Ensure the proposed changes or improvements comply with international best practice in the management of technology intensive companies such as NGC.
iv. Advise on additional external resources needed to successfully implement restructuring.
b. HR Policy and System
i. Review the HR manual, policies and procedures prepared under the EY consultancy and recommend changes based on the revised role of NGC.
ii. Identify gaps and recommend improvements.
iii. Provide oversight to drafting of select policies and procedures that are absent from the manual prepared by EY.
iv. Advise on and oversee development of at least two high-priority HR policies, including detailed implementation procedures.
v. Ensure all HR policies are compliant with local labor laws and reflect international standards for technical utilities.
Deliverables
The consultant will provide:
a. Assessment Report: Analysis of the EY corporate restructuring plan, identifying gaps and recommendations aligned with NGC’s revised mandate.
b. HR Manual Review Report: Evaluation of existing HR manual and procedures with annotated feedback.
c. Policy Gap Matrix: A list of missing or underdeveloped HR policies, with priority ranking and rationale.
d. Draft Policies: At least two revised or newly developed HR policies (including implementation guidelines) as identified by the Human Resource Committee (HRC).
Reporting and Communication
The consultant will report directly to the Board’s Human Resource Committee (HRC) of NGC and will coordinate closely with the HR Department, relevant legal advisors, and technical operations teams to ensure alignment of recommendations with organizational objectives.
Confidentiality and Intellectual Property
The Consultant shall maintain strict confidentiality regarding all NGC data and insights gathered. NGC shall retain ownership of all reports, frameworks, and intellectual property resulting from this engagement.
Minimum Qualification Requirements
The candidate should have the following qualification and experience:
i. Master’s degree in Human Resource Management, Business Administration, or related field.
ii. At least fifteen [15] years of progressive experience in HR management in large-scale public or private sector companies.
iii. Proven expertise in corporate restructuring and change management. Experience in restructuring of a state-owned enterprise (SOE) will be given preference.
iv. Prior experience in advising companies on developing and implementing restructuring plans.
v. Experience in advising senior leadership on HR system design and organizational transformation.
vi. Prior experience in developing HR manuals including policies and procedures for large organizations and in complex organizational environments.
