AED seeks a Senior Vice President and Chief Legal Officer, Office of the President
Project Summary:
The Office of General Counsel is to provide advice and counsel on a variety of AED business aspects to include, but not limited to, policy, employment, contracts and procurement, corporate matters, commercial transactions, and mergers & acquisitions.
Position Summary:
The Chief Legal Officer, along with the Senior Management Group, is responsible for building and maintaining a culture that combines the highest standards of integrity with responsive, practical approaches to furthering the work of the AED. The successful candidate will embrace this role as a leadership opportunity and bring ideas and results to AED’s mission.
Essential Job Functions:
• Provide practical advice and counsel regarding AED’s obligations as a Federal Contractor, including, but not limited to, policy review and creation, employment issues, contract and procurement issue, corporate matters, commercial transactions, and mergers and acquisitions.
• Identify potential areas of compliance vulnerability and risk avoidance and mitigation; develop and implement corrective action plans for resolution of problematic issues, and provide general guidance on how to avoid similar situations in the future.
• Help in establishing and maintaining an effective and fully compliant internal control system withe federal, state and local statutes and regulations.
• Anticipate and guard against legal risks facing the company.
• Identify, analyze and report on important legislative and regulatory developments.
• Provide legal counsel on issues arising from actual or anticipated lawsuits, and to prevent future ones.
• Develop and recommend company policy and position on legal issues.
• Conduct and coordinate research into a variety of legal issues.
• Represent AED, as appropriate, in various legal proceedings both domestically and internationally.
• Write, review, and edit reports, opinions, correspondence, contracts, and other legal documents.
• Write and administer complex vendor, client, and employment contracts as needed.
• Respond to government investigations and queries as the principal point of contact.
• Manage external counsel and general litigation; provide input on the decision whether to send matters to outside counsel and assist in the oversight of outside counsel as necessary.
• In conjunction with the Senior Vice President and Integrity and Compliance Officer, develop and oversee an integrated risk management program of AED, including a training program.
Education:
Masters in one of the following or related fields: Law and Legal Studies required or equivalent combination of education and work experience. Doctorate preferred.
Experience:
10 year(s) of relevant experience required
Specific Knowledge Requirements:
• Successfully completed a full course of study in a school of law accredited by the American Bar Assoc. (ABA) and possess the first professional law degree, LLB or JD; LLM, SJD a plus.
• Must currently be a member in good standing of the bar of the US, District of Columbia. NY, VA or MD.
• Ten or more years of professional legal experience acquired after admission to the bar commensurate with the duties and responsibilities of the position.
• Prior leadership of an in-house legal department a plus.
• Experience in developing and implementing internal compliance policies and procedures for non-profit organizations.
• Strong knowledge of U.S. Federal agency policies governing contracting regulations, including but not limited to the FAR, A-133, A-122, AIDAR, 22 CFR Part 226, OMB Circulars and other federal standard provisions and administrative guidelines for grants and cooperative agreements.
• Knowledge of the compliance and regulatory requirements of multilateral and bilateral donor agencies (e.g. USAID, U.S. State Department, agencies within Heath and Human Services, the World Bank, Asian Development Bank), as well as major foundations, preferred.
• Past experience working with U.S. Federal Agencies, Offices of the Inspectors General, and other legal/compliance units with bilateral, multilateral and other organizations.
• Past experience working with board of directors, audit and other board commitees a plus.
• Strong knowledge of labor/employment law.
• Knowledge of patents and trademark issues desirable.

Must be able to obtain and maintain a security clearance at the “Secret” Level

Working Conditions including Travel and Overtime:
Will need to travel overseas several times during the year.
