SBI is assisting a major international NGO with a large multi-investor debt transaction to support its multi-country microfinance operations. The project has three major phases: (1) finalizing the financial projections for the operations and their future growth; (2) investor due diligence and negotiations; and (3) the legal closing process.
Transaction Team and Structure
Cliff Kellogg, Executive Vice President, ShoreBank, based in the Washington, DC, will lead the transaction team. The Transaction Specialist will provide day-to-day transaction execution support and will report directly to Mr. Kellogg. The President of SBI will assist in managing investor relationships. Additional financial expertise will be available from SBI senior consultants familiar with the client and previous work completed on its behalf.
Responsibilities
The overall role of the Transaction Specialist is to act as the “second chair” on the transaction from start to finish.
The primary responsibility of the Transaction Specialist is the integrity of the NGO’s financial projections and stress-testing of the key variables that form the basis of them. This requires regular interaction with the client. Once the projections are prepared, the investors will likely request additional scenarios that must be tested. The Transaction Specialist will assist in drafting investor presentations regarding transaction terms and the growth plans for the NGO. The Transaction Specialist will be responsible for maintaining a secure electronic website for the financial model and for all other information pertaining to the transaction.
During the investors’ due diligence, the Transaction Specialist will draft investor presentations, assemble investors’ questions for submission to the client, and assist in replying. If the investors request on-site due diligence, then the Transaction Specialist will coordinate site visits.
During the legal closing process, the Transaction Specialist will update and maintain the secure website with deal documentation. The Transaction Specialist will assist in negotiations among investors and with the NGO client. The Transaction Specialist will be responsible for supporting and liaising with external legal counsel throughout the closing process.
Timing & Travel
The transaction is scheduled for closing before the end of November 2010. SBI anticipates that the Transaction Specialist will spend up to 100 days between now and mid-December when the project concludes. SBI estimates that this requires an 80% time allocation during this period.
The initial trip to the client site in south Asia is scheduled for July 16, 2010 for a 2-week period. Additional travel is likely to investors’ offices in the US and in Europe in September and October. Travel to certain additional developing countries may be necessary to support investors’ due diligence.
Beyond the scope of this assignment, the Transaction Specialist may also be invited to participate in other SBI projects that call for similar skills or operate in similar geographies. This additional work would be scoped and compensated separately.
Skills
?Undergraduate degree in international business, economics, or development, or related field;
?Ability to deliver consistently high levels of accuracy, efficiency and follow-through;
?Excellent written and verbal English communication skills;
?Commanding knowledge of Microsoft Office (Word, Excel, PowerPoint, Access);
?Strong initiative, ability to work independently and ability to multi-task;
?High level of attention to detail and organization;
?Extensive financial modeling and transaction experience;
?Experience in modeling the operations of financial institutions is highly desirable;
?Demonstrated quantitative skills;
?Basic knowledge of accounting concepts and terminology;
?Knowledge of a foreign language is desirable.
