Assignment Title: 1046706 - Legal Consultants for Nyagak III Uganda Small Hydro
IFC Advisory Services in Public Private Partnerships (C3P) is being retained by the Uganda Electricity Generation Company Ltd. (UEGCL) to provide transaction advisory services for the development of the Nyagak III mini-hydro power project through a public private partnership (PPP).
C3P is seeking expression of interest from firms (the Consultant) with relevant expertise to carry out legal due diligence on the project and prepare the contractual and bidding documentation for the transaction.
Nyagak III is a mini-hydro project in the north west of Uganda which will have an installed capacity of 4.36MW. KfW funded a feasibility study for Nyagak III that was completed by Lahmeyer International in September 2010. The capital cost of the project is estimated to be in the order of 14 million.
UEGCL has decided to undertake the development of Nyagak III through a Public Private Partnership (PPP). The Projects objective is to support the development of Nyagak III by assisting UEGCL identify and select a private sector sponsor that would invest equity, arrange additional debt and equity financing, and design, develop, and operate the development under a PPP agreement with UEGCL. The advisory services project will be implemented in 2 phases. Phase 1, which will occupy the bulk of the Consultants time, is expected to last approximately three months. Phase 2 is expected to last approximately nine months.
The consultant will be expected to undertake the following:
-A sellers legal due diligence of the project, including reviewing all land, legal, regulatory and contractual issues related to the project
-Recommend legal and commercial options for the development of the project
-Assist with the tender process including drafting all the transaction documents such as the Request for Prequalification, Request for Proposals, the Concession Agreement and the Power Purchase Agreement
-Assist with the evaluation of bids
-Assist with the negotiation of the transaction agreements with the winning bidder
Eligibility restrictions apply:
The legal firms must a have presence in Uganda. Respondents may be Ugandan firms or foreign firms with an office in Uganda or associated with a Ugandan firm. The bulk of the work will be undertaken in Uganda.

The consultant will be a firm.
The World Bank now invites eligible consultants to indicate their interest in providing the services. Interested consultants must provide information indicating that they are qualified to perform the services (brochures, description of similar assignments, experience in similar conditions, availability of appropriate skills among staff, etc. for firms; CV and cover letter for individuals). Please note that the total size of all attachments should be less than 5MB. Consultants may associate to enhance their qualifications.

Following this invitation for Expression of Interest, a shortlist of qualified firms will be formally invited to submit proposals. Shortlisting and selection will be subject to the availability of funding.
