The European Investment Fund (EIF) is seeking to recruit for its Legal Department, Debt Operations Division, at its headquarters in Luxembourg, a Trainee.

Duration: 5 months

Starting date: October

Specific Post Environment:

The Debt Operations Division is part of the Legal Department. It mainly advises on banking and finance transactions across the European Union (structured finance, securitization, portfolio guarantees, loan facilities, microfinance facilities and loan funds) as well as mandate negotiations (negotiations with States, Regions or Multilateral Organizations).

Overall objective:

Your overall objective will be to:

  • Actively participate to the management of EIF debt mandate agreements and debt transactions by working on transfer and termination agreements and related documentation.
  • For this purpose, you will work in closed cooperation with other EIF services (including Mandate Management and EIF Back Office) to provide legal input on termination agreement and support services on the drafting and negotiation of mandate and transactions termination agreements.

Responsibilities:

Under the guidance of the senior of the team, you shall:

  • Participate to the discussions on termination of mandates and termination of transactions;
  • Have the opportunity to work with local law firms on specific local laws aspects linked to the transfer or termination of agreements. You will therefore be exposed to various EU jurisdictions and related local laws.
  • Review relevant documents and provide input under the supervision of a Head of Unit or lawyer of the team;
  • Support the legal team in the drafting and negotiation of mandate termination agreements.
  • Prepare drafts (and coordinate services feedback) of termination of guarantee/loan agreements. (in all cases, under the supervision of a lawyer of the team).
  • Be involved in legal analysis performed in the context of termination or transfer of agreements.

Expected outcome:

  • obtain a basic understanding of mandate agreements (i.e. programmes that EIF deploys on behalf of the European Commission and Member States) and of guarantee and loan agreements. You will work with a lawyer of the team on transfer/termination agreements and will get the opportunity to enhance your drafting and negotiation skills.
  • work in close coordination with other EIF services (i.e. mandate management and back office) and will therefore get an overview of the projects managed by these services.

Qualifications:

  • Master degree in Law from a reputable University, preferably with a specialisation in business/finance law.
  • Previous experience as a trainee in a recognised law firm or legal department of a financial institution, in the area of banking, structure finance or capital markets
  • Basic knowledge of finance documentation.
